Membership Criteria

Membership in Florida Angel Nexus is open to accredited investors who are passionate about supporting early-stage companies and contributing to the entrepreneurial community. Key criteria include:

  • Must meet the SEC's definition of an "accredited investor".
  • Interest in investing in Florida-based startups.
  • Willingness to actively participate in the network (e.g., mentoring, due diligence).
  • Commitment to ethical investment practices.

We also welcome individuals who may not yet be accredited but are on a path towards it and wish to learn and engage with our community (associate memberships may be available).

Understanding Accredited Investor Status

The U.S. Securities and Exchange Commission (SEC) defines an accredited investor to ensure that individuals participating in certain private capital markets have the financial sophistication and capacity to bear the risk of loss from such investments.

Generally, an individual qualifies as an accredited investor if they meet one of the following:

  • Have an individual net worth, or joint net worth with their spouse, exceeding $1 million (excluding the value of the primary residence).
  • Have an individual income exceeding $200,000 in each of the two most recent years, or joint income with their spouse exceeding $300,000 for those years, and a reasonable expectation of the same income level in the current year.
  • Hold certain professional certifications, designations, or credentials in good standing (e.g., Series 7, Series 65, or Series 82 license).

Entities such as banks, corporations, partnerships, and trusts may also qualify as accredited investors under different criteria.
